General Terms and Conditions of Sale — SafeSignal

    Version: 28 October 2026 · Language: English

    Brand / webshop: SafeSignal (safesignal.be · shop.safesignal.be)

    Seller: Armlab BV

    1. Identity of the seller

These General Terms and Conditions of Sale (the Terms) apply to all offers, orders and contracts of:

    Armlab BV

    trade name / brand: SafeSignal

    Sint-Hubertusstraat 67

    3730 Bilzen-Hoeselt

    Belgium

    • Company number (KBO): 0899.277.201
    • VAT number: BE 0899.277.201
    • E-mail: [email protected]
    • Websites: https://safesignal.be · https://shop.safesignal.be

    Hereafter: the Seller or SafeSignal.

    2. Scope

2.1. These Terms apply to every sale of products and/or services by the Seller via the websites, webshop, quotation or other channels, both to:

    • consumers (natural persons acting for purposes outside their trade, business, craft or profession — the Consumer); and
    • business customers (companies, installers, fleets, public services, towing operators and other B2B buyers — the Business Customer).

Customer means Consumer or Business Customer, unless stated otherwise.

2.2. By placing an order or accepting a quotation, the Customer acknowledges having read and accepted these Terms. The Customer’s own terms apply only if the Seller has expressly accepted them in writing (including e-mail).

2.3. In case of conflict between these Terms and an individual written agreement or quotation from the Seller, the individual provisions prevail.

2.4. Public procurement. Where the Seller supplies under a public contract (Belgian or EU), the applicable tender documents, specifications, special contract conditions and public procurement law prevail over these Terms to the extent they differ.

    3. Offers and prices

3.1. All offers, price lists and catalogue listings on the websites or elsewhere are non-binding and may be changed, unless expressly stated as binding or valid for a stated period.

3.2. Webshop prices for Consumers are shown including VAT (unless otherwise stated) and excluding shipping, unless indicated otherwise. For Business Customers, prices may be shown excluding VAT; VAT is then charged at the statutory rate.

3.3. Obvious errors in prices or descriptions do not bind the Seller. The Seller may refuse or correct an order in case of an obvious pricing error.

3.4. Quotations are valid for the period stated on the quotation; failing that sixty (60) days.

    4. Orders and formation of the contract

4.1. A webshop order is an offer to purchase. The contract is formed when the Seller confirms the order (order confirmation by e-mail) or starts performance.

4.2. The Seller may refuse or suspend an order, including where there is doubt about solvency, incomplete data, suspected fraud, or unavailability of products. The Customer will be informed as soon as possible; amounts already paid will be refunded if no alternative delivery follows.

4.3. For custom work, installation or project quotes, the contract is formed by written acceptance of the quotation or signature of an order confirmation.

    5. Payment

5.1. Webshop payment is made via the available payment methods, unless otherwise agreed.

5.2. Business Customers may receive invoices with the payment term stated on the invoice or quotation (thirty (30) days after invoice date, unless otherwise agreed).

5.3. Late payment by a Business Customer entitles the Seller to statutory commercial interest and a fixed indemnity under the Belgian Act of 2 August 2002 on combating late payment in commercial transactions, without prejudice to other remedies. For Consumers, mandatory rules on non-payment and reminder fees apply.

5.4. The Seller may suspend delivery while due amounts remain unpaid.

    6. Delivery and transfer of risk

6.1. Delivery zones, shipping costs and estimated lead times are described on the Shipping & returns page and/or at checkout. Indicative lead times are not binding deadlines unless expressly agreed in writing.

6.2. Consumer: risk of loss or damage passes when the Consumer (or a third party designated by the Consumer other than the carrier) takes physical possession. If the Consumer chooses a carrier other than one offered by the Seller, risk passes on delivery to that carrier.

6.3. Business Customer: unless otherwise agreed (Incoterms or otherwise), risk passes on handover to the first carrier or on making goods available at the Seller’s warehouse.

6.4. The Customer checks the delivery on receipt for visible damage and shortages and reports them as soon as possible, preferably within five (5) business days, to [email protected], with order number and photos where useful. This does not affect the Consumer’s statutory rights.

    7. Retention of title

7.1. All delivered goods remain the Seller’s property until full payment of the price, including any additional costs and interest.

7.2. Until title passes, the Customer may not pledge, resell or encumber the goods without the Seller’s prior written consent, except for normal resale in the course of a Business Customer’s trade, in which case the Seller may claim the proceeds.

    8. Warranty

    8.1. Consumers — statutory warranty

The Consumer benefits from the two (2) year statutory warranty for goods not in conformity with the contract, under Book VI of the Belgian Code of Economic Law. If a defect appears within that period, the Consumer is entitled to repair or replacement and, where applicable, price reduction or rescission, according to the statutory cascade.

    8.2. Business Customers

For Business Customers, unless mandatory law provides otherwise, the Seller grants a five (5) year warranty on Redtronic LED signalling products, unless the quotation or order confirmation states otherwise. For other products, the Seller passes through the manufacturer’s warranty (“pass-through”), insofar as applicable and the Customer has followed use and installation instructions. Any additional contractual warranty applies only if agreed in writing. Visible defects must be reported without delay after discovery. Consumers retain in any case the statutory two (2) year warranty as a minimum.

8.3. Common exclusions (to the extent legally permitted)

Warranty does not cover damage from incorrect installation by the Customer or a third party, misuse, modifications, normal wear, accidents, or failure to follow installation, use or maintenance instructions — without prejudice to the Consumer’s mandatory rights.

    9. Right of withdrawal for Consumers

9.1. The Consumer may withdraw from a distance contract within fourteen (14) calendar days without giving reasons, under Book VI CEL.

9.2. The withdrawal period starts on the day the Consumer or a third party designated by the Consumer (other than the carrier) takes physical possession. For multiple goods in one order: on receipt of the last good.

9.3. To withdraw, the Consumer notifies the Seller before the deadline in an unequivocal manner (e-mail to [email protected] or the European withdrawal form in the annex). Another unequivocal statement is also valid.

9.4. The Consumer returns the goods without undue delay and no later than fourteen (14) days after giving notice of withdrawal, to the return address communicated by the Seller, complete and preferably in original packaging. Direct return shipping costs are borne by the Consumer, unless the Seller has agreed to bear them or failed to inform the Consumer that the Consumer bears those costs.

9.5. After withdrawal, the Seller reimburses all payments received from the Consumer, including standard delivery costs (not the surcharge for a delivery method other than the least expensive standard delivery), within fourteen (14) days of notice of withdrawal, using the same means of payment unless otherwise agreed. The Seller may withhold reimbursement until receipt of the goods or proof of return, whichever is earlier.

9.6. Exceptions. The right of withdrawal does not apply inter alia (non-exhaustive, Art. VI.53 CEL) to:

    • goods made to the Consumer’s specifications or clearly personalised;
    • sealed goods not suitable for return for health or hygiene reasons if the seal was broken after delivery;
    • goods that after delivery are inseparably mixed with other items;
    • services fully performed with the Consumer’s prior express consent and acknowledgement of loss of the withdrawal right once fully performed;
    • other statutory exceptions.

    10. Returns (outside withdrawal)

10.1. Outside the statutory right of withdrawal, the Seller accepts returns only with prior written approval, under the Shipping & returns page procedure.

10.2. Warranty or defective products: contact [email protected] with order number, description and photos. The Seller will indicate whether an RMA/return follows and who bears shipping costs.

    11. Liability

11.1. The Seller is liable only for direct damage resulting from a attributable failure to perform the contract, within the limits of mandatory law.

11.2. To the extent legally permitted, the Seller’s total liability per event (or series of related events) is limited to the amount paid by the Customer for the relevant order (excluding VAT), or — if higher and applicable — the amount paid out by the Seller’s liability insurance in that case.

11.3. To the extent legally permitted, the Seller is not liable for indirect damage, consequential damage, loss of profit, lost savings, business interruption or reputational harm.

11.4. Nothing in these Terms limits or excludes liability for wilful misconduct or gross negligence of the Seller, for death or personal injury, or any liability that cannot lawfully be limited or excluded — especially towards Consumers.

    12. Use and installation — Customer responsibility

12.1. SafeSignal products (including warning lights, lightbars, flashers, sirens and other signalling and communication equipment) are intended for professional and/or permitted use.

12.2. The Customer is solely responsible for lawful use, mounting and installation of the products, including compliance with applicable Belgian and European road traffic rules, vehicle inspections, vehicle regulations and any sector- or client-specific requirements.

12.3. The Seller is not responsible for fines, failed inspections or damage arising from incorrect or unlawful use or installation by the Customer or third parties engaged by the Customer — without prejudice to the Consumer’s mandatory rights and the Seller’s liability for its own installation work where agreed in writing.

    13. Force majeure

13.1. Force majeure means any circumstance beyond the Seller’s reasonable control that temporarily or permanently prevents performance, including (non-exhaustive): natural disasters, epidemics, war, terrorism, strikes, supplier or carrier failures, cyberattacks, government measures, fire, or shortages of materials or components.

13.2. In case of force majeure, the Seller may suspend obligations for the duration of the event. If it lasts more than ninety (90) days, either party may terminate the contract for the unperformed part without damages, without prejudice to payment for performance already delivered.

    14. Privacy

The Seller processes personal data in accordance with the Privacy Policy on safesignal.be and shop.safesignal.be. Questions: [email protected].

    15. Governing law and disputes

15.1. These Terms and all contracts between Seller and Customer are governed by Belgian law, excluding the CISG where exclusion is permitted.

15.2. Consumers may bring disputes before the competent Belgian courts under statutory jurisdiction rules. Consumers residing in another EU Member State may also sue in their home courts where consumer law so allows. The EU ODR platform is available at: https://ec.europa.eu/consumers/odr .

15.3. Business Customers: all disputes fall under the exclusive jurisdiction of the courts of the judicial district where the Seller’s registered office is located (currently Bilzen-Hoeselt, Belgium), without prejudice to the Seller’s right to sue the Business Customer before the courts of the latter’s registered office.

    16. Final provisions

16.1. If any provision is void or unenforceable, the remaining provisions stay in force. The parties replace the void provision with a valid one closest to the original intent.

16.2. The Seller may amend these Terms. The version applicable to an order is the one on the website at the time of order or attached to the quotation.

16.3. The Dutch text is the master version. Translations (EN/FR/DE) are for information; in case of doubt the Dutch version prevails, subject to mandatory law giving another language priority for Consumers.
